1. Agreement to Terms
By engaging BM Accounting Services Limited ('BM') to provide professional services, or by using this website, you agree to these Terms of Service. These terms govern the relationship between BM and its clients and website visitors.
2. Services
BM provides accounting, tax advisory, company secretarial, and related professional services to businesses in Hong Kong. The specific scope of services, fees, and delivery timelines for each engagement are agreed in a separate engagement letter or service agreement between BM and the client.
3. Client Responsibilities
Clients are responsible for: providing accurate, complete, and timely information required for BM to perform the services; maintaining proper books and records as required by Hong Kong law; promptly reviewing and approving work products; and notifying BM of any material changes to the business that may affect the services.
4. Professional Standards
BM's services are performed in accordance with applicable Hong Kong professional standards and regulatory requirements. BM is not responsible for errors or omissions arising from inaccurate, incomplete, or untimely information provided by the client.
5. Fees and Payment
Fees are as agreed in the engagement letter or service agreement. Invoices are due within 30 days of issue unless otherwise agreed. BM reserves the right to suspend services for overdue accounts. Any government fees, filing fees, or disbursements incurred on the client's behalf are charged at cost.
6. Confidentiality
BM treats all client information as strictly confidential and will not disclose it to third parties except as required by law, with client consent, or to professional advisors on a need-to-know basis. This obligation survives the termination of the engagement.
7. Limitation of Liability
BM's liability for any claim arising from the services is limited to the fees paid by the client for the specific service giving rise to the claim. BM is not liable for indirect, consequential, or special damages. Nothing in these terms limits liability for fraud or wilful misconduct.
8. Intellectual Property
Working papers and internal documents prepared by BM remain BM's property. Deliverables provided to clients, including financial statements, tax returns, and reports, may be used by the client for their intended purpose.
9. Termination
Either party may terminate the engagement by giving reasonable written notice. BM reserves the right to withdraw from an engagement immediately if the client provides materially false information or if continued engagement would violate professional or legal obligations.
10. Governing Law
